This Note Assignment and Supplement to the Intercreditor Agreement (the "Agreement") is entered into and effective as of August 21, 2017 by and among Function(x) Inc. formerly known as Viggle Inc. (the “Company”), Sillerman Investment Company IV, LLC (the “Assignor”), and Reaz Islam (“Assignee”). Capitalized terms used but not defined herein shall have the meanings given to them in the Note or the Intercreditor Agreement, as applicable.
