This Agreement will confirm the arrangements made between the Agent and City whereby the Agent has agreed to act as Note Paying Agent in connection with, and solely with respect to the City’s Combined Utility Systems Tax-Exempt Program Notes, Direct Purchase Sub-Series (the "Direct Purchase Notes") which may be sold to, and purchased by the Bank (as hereinafter defined) pursuant to the Tax-Exempt Note Purchase Agreement (as hereinafter defined). The sale of the Direct Purchase Notes was authorized by the adoption of City Ordinance No. 2020 - (the "Note Ordinance"). The Agent assumes no responsibility for the issuance and payment of the Commercial Paper Notes.
