This Notes Repurchase and Warrant Purchase Agreement (this “Agreement”) is dated as of April 28, 2010, by and between (i) Whitehorse Technology Limited, a company formed under the laws of the British Virgin Islands (the “Company”) and Mr. Tu Guo Shen (the “Controlling Shareholder”) and (ii) Abax Nai Xin A Ltd.
