This Professional Services Agreement for offender management services (“Agreement”) is made and entered by and between the County Commissioners of Caroline County, Maryland, a body politic and corporate and a political subdivision of the State of Maryland, (the “County” and “Licensee”), and Global Tel Link Corporation, a Delaware corporation, licensed as a foreign entity to conduct business in the State of Maryland, (the “Contractor”, “Licensor” and “GTL”).
