By this offer (the “Offer”), Socket Mobile, Inc. (“Socket Mobile,” “we,” “our” or “us”) is giving eligible service providers of Socket Mobile the opportunity to exchange some or all of their stock options granted under our 2004 Equity Incentive Plan, as amended (the “2004 Plan”), whether vested or unvested, that are outstanding at the start of this Offer and remain outstanding and unexercised through the expiration of this Offer (“eligible options”), for new options to purchase shares of our common stock (“new options”).
