THIS OFFICER RESIGNATION AGREEMENT (“Agreement”) is entered into by and between Denbury Resources Inc., a Delaware corporation (“DRI,” and together with its subsidiaries, collectively, the “Company”), and Robert L. Cornelius (“Cornelius”) on December 18, 2013 (the “Execution Date”) and will become effective as of the end of the day on December 31, 2013 (the “Effective Date”) unless earlier revoked by Cornelius pursuant to, and in accordance with, Section 9(c).
