This liquidating trust agreement (the “Agreement”) is made this 21st day of December, 2017 by and among Old PSG Wind-down Ltd. (together, the “Debtor”), and Theseus Strategy Group LLC, as trustee (the “Liquidation Trustee”). Capitalized terms used but not otherwise defined in this Agreement shall have the meanings ascribed to them in the Plan (as defined below).
