THIS OMNIBUS AMENDMENT (this “Amendment”) is entered into as of October 11, 2017 by and among AudioEye, Inc., a Delaware corporation (the “Company”) and the undersigned holders (the “Requisite Holders”) of Common Stock Warrants issued under that certain Note and Warrant Purchase Agreement, dated as of October 9, 2015 (the “Purchase Agreement”). Capitalized terms used and not otherwise defined herein shall have the meanings ascribed to them in the Purchase Agreement.
