OP CONTRIBUTION AGREEMENT, dated as of April 12, 2005 (this “Agreement”), among VENTAS, INC. (“Parent”), ELDERTRUST OPERATING LIMITED PARTNERSHIP (“Parent OP”) and the undersigned holder (the “Holder”) of common units of limited partnership interests (the “LTIP Units”) issued pursuant to the Long Term Incentive Plan of PROVIDENT SENIOR LIVING TRUST (the “Company”).

This AMENDMENT TO OP CONTRIBUTION AGREEMENT (this “Amendment”) is entered into as of December 16, 2010, by and among American Assets Trust, L.P., a Maryland limited partnership (the “Operating Partnership”), American Assets Trust, Inc., a Maryland corporation (the “REIT”), and the contributors whose names appear on Schedule I hereto (each a “Contributor” and, collectively the “Contributors”). The REIT, the Operating Partnership and the Contributors are referred to herein from time to time individually as a “Party” and collectively as the “Parties.” Capitalized terms used herein without definition shall have the meanings assigned to such terms in the Contribution Agreement (as defined below).

Ventas, Inc. and ElderTrust Operating Limited Partnership have entered into an OP Contribution Agreement dated as of April 12, 2005 with each of the holders of common units of limited partnership interest (the “LTIP Units”) issued pursuant to the Long Term Incentive Plan of Provident Senior Living Trust listed in the table below, which agreements are substantially identical in all material respects to the agreement filed as Exhibit 10.1 to this Current Report on Form 8-K, except for differences relating to the holder and the number of LTIP Units held by such holder.
