Gulf Fleet Supply Vessels, L.L.C,, a Louisiana limited liability company, has been formed under the laws of Louisiana by the filing of Articles of Organization (the “Articles”) pursuant to the Louisiana Limited Liability Company Law, La. R.S. 12:1301, et seq. (as amended from time to time and any successor statute, the “Act”) on behalf of each Member. Prior to the date of this Amended and Restated Operating Agreement (“Agreement”), the affairs of the Company were governed by that certain Operating Agreement, dated March 31, 1999 (the “Original Agreement”). Each party to this Operating Agreement, as a Member, enters into this Operating Agreement as the Company’s and its binding agreement and for all purposes permitted for an operating agreement under Louisiana law. Wherefore, each Member agrees as follows:

This Amended and Restated Operating Agreement and By-laws (this “Agreement”), made and entered into effective August 13, 1999, constitutes the Operating Agreement for Frymaster L.L.C. (the “Company”). This Agreement and the Articles of Organization of the Company (the “Articles”) shall be binding on all holders of Shares (as defined in the Articles) of the Company as members of the Company and all transferees of such Shares as substituted or additional members of the Company (collectively, the “Members” and individually, a “Member”).

To advise and support the Director of The Hall Center for the Humanities in his/her primary duty to uphold the Hall Center’s high aspirations and prominence as a regional, national, and international leader among its peer institutions, and to assist in advancing interdisciplinary research in the humanities among faculty, graduate and undergraduate students, and in the sponsorship of public programing that brings the humanities to the widest possible audience. The Advisory Board is advisory only, and has no powers to set policy or procedures, financial or otherwise, for the Hall Center.
