This AMENDED AND RESTATED OPERATING AND MEMBER CONTROL AGREEMENT (“Agreement”) of Valley View Transmission, LLC, a Minnesota limited liability company (the “Company”), is made and entered into as of the 16th day of February, 2011, by and among Valley View Wind Investors, LLC (“Investor Member”), Valley View Wind Holdings, LLC (“Local Member”), and the Company. All capitalized terms used herein shall have the respective meanings given to such terms in Section 1 hereof or as otherwise defined in this Agreement.

THIS THIRD AMENDMENT TO THE FIFTH AMENDED AND RESTATED OPERATING AND MEMBER CONTROL AGREEMENT OF GRANITE FALLS COMMUNITY ETHANOL PLANT, LLC dated August 12, 2004 (the “Operating Agreement”) is adopted and approved effective as of the 21st day of March, 2013, by the affirmative vote of the holders of a majority of the outstanding Membership Units of Granite Falls Energy, LLC pursuant to Section 322B.37 of the Minnesota Statutes and pursuant to Section 8.1 of the Operating Agreement of the Company at a Meeting of the Members held on March 21, 2013.

The undersigned does hereby represent and warrant that the undersigned, as a condition to becoming a Member in Granite Falls Energy, LLC, has received a copy of the Fifth Amended and Restated Operating and Member Control Agreement, dated August 12, 2004 and all amendments and modifications thereto, (“the Operating and Member Control Agreement”) and does hereby agree that the undersigned, along with the other parties to the Operating and Member Control Agreement, shall be subject to and comply with all terms and conditions of said Operating and Member Control Agreement in all respects as if the undersigned had executed said Operating and Member Control Agreement on the original date thereof and that the undersigned is and shall be bound by all of the provisions of said Operating and Member Control Agreement from and after the date of execution hereof.
