This Letter Agreement is to confirm the understanding between Accenture LLP (“Accenture”) and XL Global Services, Inc. (“XL”) relating to XL’s intent to terminate for convenience in full the parties’ Operational Transformation Agreement (“OT Agreement”), dated May 6, 2008. Accenture provided XL with certain services (the “OT Programme”) under the OT Agreement.
