This Operations and Maintenance Agreement (this “Agreement”) is effective after Substantial Completion of the Work. The County hereby engages SunPower and SunPower hereby accepts such engagement to perform certain maintenance services for the system or systems identified herein (the “System”), located on and in accordance with the terms and conditions set forth below. Therefore, in consideration of the promises and undertakings set forth herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, SunPower and the County (each a “Party” and together, the “Parties”), intending to be legally bound, hereby agree as follows:
