THIS AGREEMENT AND DECLARATION OF TRUST is made as of August 15, 2012, as amended as of February 4, 2014 to reflect the change in the name of the Trust from “Oppenheimer Emerging Markets Debt Fund” to “Oppenheimer Emerging Markets Local Debt Fund”, for the purpose of forming a Delaware statutory trust in accordance with the provisions hereinafter set forth.
