The undersigned, City of Greeley, whose address is 1000 10th Street, Greeley, Colorado 80631, herein called “Grantor(s)”, for and on behalf of Grantor and Grantor’s heirs, successors and assigns, in consideration of the payment of the Option Price and other good and valuable consideration, the adequacy of which is hereby acknowledged, does hereby grant to Public Service Company of Colorado, a Colorado corporation, herein called “Company”, the sole and exclusive right and option (the “Option”) to purchase an easement for the construction, operation, and maintenance of an electric transmission line, as further described below, said easement to be substantially in the form attached hereto as Exhibit B (the “Easement”), on the following terms and conditions:

This Memorandum of Option will be recorded in the applicable land records and is intended to provide notice to third parties of the Agreement. This Memorandum of Option is not intended to amend or modify the terms and conditions of the Agreement. To the extent that the terms and conditions of this Memorandum of Option differ from the terms and conditions of the Agreement, the terms and conditions of the Agreement shall govern.

This Option Agreement for Easement (“Agreement”) is made by and between Vermont Gas Systems, Inc., a Vermont corporation with its principal place of business at 85 Swift Street, South Burlington, Vermont (“VGS”); and The Town of Williston and its successors and assigns forever, (“Grantor”), effective as of the date signed by VGS (the “Effective Date”).
