THIS AGREEME T REGARDING OWNERSHIP INTERESTS IN ISRAEL PETROLEUM COMPANY, LIMITED (this "Agreement"), dated as of April 14, 2010, is by and amoung /International Three Crown Petroleum LLC, a Colorado limited liability company ("ITC"), Israel Oil & Gas Corporation (Previously, Bontan Oil & Gas Corporation), an Ontario corporation ("Bontan"), Bontan Corporation Inc., an Ontario corporation ("Bontan Parent"), Allied jVen~uresIncorporated, a Belize corporation ("Allied") and Israel Petroleum Company, Limite1, a Cayman Islands limited company (the "Company"), each, individually, sometimes referred to as a "Party" and collectively referred to as the "Parties."

ROI Holdings, LLC (“ROI Holdings”) is a limited liability company owned by lineal descendants (or trusts for the benefit thereof) of Preston Wolfe. ROI Holdings holds a 53.3% ownership interest in RadiOhio Incorporated (“RadiOhio”), licensee of WBNS(AM)-FM, Columbus, Ohio. Until his death in June 2016, John F. Wolfe served as the manager of ROI Holdings. Under the ROI Holdings operating agreement, although the manager votes all RadiOhio shares held by ROI Holdings (and Mr. Wolfe therefore was reported as having a nominal 100% voting interest in ROI Holdings), the ROI Holdings manager is required to vote ROI Holdings’ RadiOhio shares in accordance with the collective preference of members holding a majority equity interest in ROI Holdings. Upon Mr. Wolfe’s death, his widow, Ann I. Wolfe, succeeded him as the ROI Holdings manager. Because the manager’s role is ministerial, no transfer of control of any direct or indirect voting interest in RadiOhio resulted from this event. ROI Holdings
