This Participating OEM Contribution Agreement (this “Agreement”) is dated as of [ ], 2018 and effective as of the Effective Date (as defined below) between American Honda Motor Co., Inc. and Honda Motor Co., Ltd., as the Participating OEM hereunder (together, the “P- OEM”), and the PSAN PI/WD Trust, to be named and referred to as the Takata Airbag Tort Compensation Trust Fund (the “Trust”), a qualified settlement fund created in accordance with the Fifth Amended Joint Chapter 11 Plan of Reorganization of TK Holdings Inc. and Its Affiliated Debtors (as has become effective, the “Plan”). All capitalized terms not otherwise defined herein shall have their respective meanings as set forth in the PSAN PI/WD Trust Agreement (as defined in the Plan) and such definitions are incorporated herein by reference.
