This Amendment No. 1 (“Amendment”) is entered into, by and between U.S. Bank National Association (“U.S. Bank”) and the State of Montana (“State”) (collectively, “the Parties”), to amend the Participation Addendum, to the WSCA-NASPO Contract led by the State of Washington between the State of Montana and U.S. Bank dated October 20, 2014 (“Participation Addendum”) as amended or supplemented. This Amendment shall become effective on January 1, 2019 (“Effective Date”).

Agreement, a person who is not a party to this Addendum shall have no rights or remedies under this Addendum. Our obligations hereunder are subject to our ability to obtain and maintain any and all required governmental licenses, permits or other authorizations, and our ability to comply with any and all laws, regulations, orders and other governmental directives which may be imposed related to the Clover Security Services. We may terminate any or all of the Clover Security Services at any time for any reason.
