UK Employee Share Incentive Plan (the “Plan”) and is subject to the Rules of the Plan. In the event of a conflict between this agreement and the Rules of the Plan, the Rules of the Plan will prevail. Capitalised words in this agreement have the same meaning as in the Rules of the Plan (unless otherwise defined herein or the context requires otherwise):
