This Amendment to the Exclusive Patent License And Research Collaboration Agreement (this “Amendment”) is entered into as of November 9, 2020 (the “First Amendment Effective Date”), by and between CUE BIOPHARMA, INC., a corporation organized and existing under the laws of Delaware (“Company” or “Cue”) and MERCK SHARP & DOHME CORP., a corporation organized and existing under the laws of New Jersey (“Merck”).
