In consideration of the mutual promises and covenants and subject to the terms, conditions, and covenants hereinafter recited, the TOWN OF BERTHOUD, Colorado (the “Town”), hereby appoints UMB BANK, N.A., Denver, Colorado (the “Bank”), and the Bank accepts such appointment, as Paying Agent (the “Paying Agent”) for the Town’s, acting by and through its Wastewater Enterprise, Wastewater Revenue Refunding Bonds, Series 2024, issued in the principal amount of $ (the “Bonds”). The Town also appoints the Bank, and the Bank accepts such appointment, as the authenticating registrar (the “Registrar”) for the Bonds.

This Paying Agent and Registrar Agreement (this “Paying Agent Agreement”), is dated as of October 1, 2016. The Issuer also appoints the Paying Agent, and the Paying Agent accepts such appointment, as the authenticating agent and registrar (the “Registrar”) for the Series 2016 Bonds.
