THIS AGREEMENT is made and entered into on June 21, 2023 by and between the City of Ankeny hereinafter called "ISSUER", and UMB Bank, N.A., a national banking association with its principal payment office in Kansas City, Missouri, in its capacity as paying agent and registrar, hereinafter called the "AGENT".

This First Amendment to Escrow and Amended and Substituted Paying Agent, Bond Registrar and Transfer Agent Agreement is entered into the date hereof between Bankers Trust Company ("Agent"), and the Treynor Community School District, in the Counties of Pottawattamie and Mills, State of Iowa ("Issuer"), with respect to the Issuer's $4,020,000 General Obligation School Refunding Bonds, Series 2016, dated June 14, 2016 (the "Bonds").
