This Payment Device Processing Agreement (“Agreement”) is entered into as of the Effective Date by and among the entity identified below as the Merchant (together with any affiliated entities listed on Schedule B to the Agreement), referred to collectively as the “Merchant,” Elavon, Inc., a wholly owned subsidiary of U.S. Bank National Association (“Elavon”) and Member, as designated on the Merchant Application, the Terms of Service (the “TOS”) and all Schedules and other attachments to the Agreement upon the Effective Date, and which may be added to the Agreement from time to time, each of which is incorporated in full by this reference. Merchant acknowledges that Elavon is entering into this Agreement with Merchant based on the legal authority vested in Merchant, as an agency created under the laws of the State of Texas, and pursuant to the authority granted to Merchant under the Texas Government Code and the Texas Administrative Code.
