All sales of products by PCT International, Inc. or its subsidiaries or affiliates (collectively, “PCT”) are subject to the terms and conditions set forth herein, which shall also be deemed to be incorporated into any and all purchase orders for any such products. The terms and conditions of sale set forth herein constitute a binding agreement (this “Agreement”) between PCT and its customer (“Customer”), and PCT shall not be bound by the terms of any Customer’s order form or other separate documentation, other than any written purchase order or other agreement which shall have been separately executed by PCT.
