WABCO HOLDINGS INC., a Delaware corporation (“Grantor”), hereby grants to [•] (“Participant”), an employee of Grantor, [•] Restricted Units (the “Award”), pursuant to and subject to the terms and conditions set forth in the Grantor’s 2009 Omnibus Incentive Plan, as may be amended from time to time (the “Plan”) and to such further terms and conditions as are set forth below in this Performance-Based Restricted Unit Grant Agreement, including the Schedule and the Appendix attached hereto (the “Agreement”).
