Purple Innovation, Inc., a Delaware corporation (the “Company“), hereby grants to Participant identified below, as of the below Date of Grant, the right to receive shares of Class A common stock, par value $0.0001 per share, in an amount initially equal to the Target Number of Shares specified below on the terms and conditions contained in this Performance-Based Share Unit Agreement (including the Schedule attached hereto, this “Agreement”) and the Company’s 2017 Equity Incentive Plan (the “Plan“) and 2019 Long-Term Equity Incentive Plan (the “LTIP”), as amended, copies of which have been provided to Participant.
