PERSONAL SEAT LICENSE: This Personal Seat License Agreement (this “License Agreement”) sets forth and describes the terms and conditions of one or more Personal Seat License(s) (or “PSL(s)”) which shall be granted to the Licensee named above (the “Licensee”, “you”, or “your”) by the Clark County Stadium Authority, a corporate and politic body and political subdivision of Clark County, Nevada (the “Authority” or the “Licensor”) through its exclusive agent, Raiders Football Club, LLC, a Nevada limited liability company (in such capacity, the “PSL Agent”), upon acceptance of this License Agreement by the PSL Agent, on behalf of the Authority, as described below. Certain capitalized terms used in the License Agreement and not otherwise defined herein have the meanings given to those terms in the Terms and Conditions in Exhibit C attached hereto (the “Terms and Conditions”).

This Personal Seat License Agreement (this “PSL Agreement”) is being entered into in conjunction with the PSL/Club Seat Confirmation provided by Jets Stadium Development, LLC (“JSD” or “Licensor”) to the person or entity identified as the Licensee therein (the “Confirmation”). Pursuant to the Confirmation, (i) Licensee has purchased from JSD (or from a prior PSL licensee, in the case of a PSL transfer in accordance with Section 5(c) below (an “Approved Transfer”)) a Personal Seat License (“PSL”) that relates to certain club seats in the Stadium (as defined in Section 6 below) constructed for use by the New York Jets football team (the “Jets”), and (ii) JSD and Licensee have entered into a Club Seat License Agreement (the “Club Seat Agreement”) that governs certain rights and obligations of Licensee related to the club seats. The Confirmation is fully incorporated into, and forms a part of, this PSL Agreement.

PERSONAL SEAT LICENSE: This Personal Seat License Agreement (the "License Agreement") sets forth and describes the terms and conditions of one or more Personal Seat License(s) (or "PSL(s)") which shall be granted to the Licensee named above ("Licensee") by Geo. L. Smith II Georgia World Congress Center Authority (the "GWCCA"), upon acceptance of this License Agreement by the GWCCA, as described below. For the purposes of this License Agreement, Atlanta Falcons Stadium Company, LLC ("StadCo"), is acting as the exclusive sales representative and agent of the GWCCA; provided, however that StadCo is executing this agreement in its own capacity as principal and not as agent of the GWCCA, for purposes of binding itself to the provisions hereof.
