THIS PHANTOM STOCK UNIT AWARD INCENTIVE AGREEMENT (this “Agreement”) is made and entered into by and between Parker Drilling Company, a Delaware corporation (the “Company”), and XXXXXXXXXXX, an individual and employee of the Company (“Grantee”), as of the XX day of XXXXXX, 2016 (the “Grant Date”), subject to the terms and conditions of the Parker Drilling Company 2010 Long-Term Incentive Plan, as Amended and Restated as of May 8, 2013, as it may be further amended from time to time thereafter (the “Plan”).
