as of September 23,30, 2008, is made by and among, and Blue Water Automotive Systems, Inc. (“BWASI” or the “Company”) and its co-debtor affiliates, Blue Water Automotive Systems Properties, LLC (“Properties”), Blue Water Plastics Mexico, Ltd.; BWAS Holdings, Inc., BWAS Mexico, LLC (collectively, together with the Company, the “Debtors”), Ford Motor Company (“Ford”), the Official Committee of Unsecured Creditors of Blue Water Automotive Systems, Inc. et al. (the “Committee”) and CIT Capital USA, Inc. (“CIT Capital”), CIT Group/Equipment Financing, Inc. (“CIT Equipment”), and CIT Group/Business Credit, Inc. (“CIT Business Credit” and, collectively with CIT Capital and CIT Equipment, “CIT”). The Debtors, Ford, the Committee and CIT are jointly referred to herein as the “Parties”.

This PLAN SUPPORT AND SETTLEMENT AGREEMENT (together with the schedules attached hereto, as each may be amended, restated, supplemented, or otherwise modified from time to time in accordance with the terms hereof, this “Agreement”), dated as of March 6, 2024, is entered into by and between: (i) PhaseBio Pharmaceuticals, Inc. (“PhaseBio” or the “Debtor”) and (ii) SFJ Pharma X, Inc. (k/k/a SFJ Pharmaceuticals X, Ltd. (“SFJ”). The Debtor and SFJ are each referred to herein as a “Party,” and collectively, the “Parties.”
