Anexo K Acuerdo de Responsabilidad Portuaria – Puerto de Mejillones ANNEX K ANEXO K PORT LIABILITY AGREEMENT - PORT OF MEJILLONES THIS PORT LIABILITY AGREEMENT (this“Agreement”) is effective as of [ ], 20 and is made by and between Sociedad GNLM Mejillones S.A. ("GNLM"), a Chilean company, on behalf of the Terminal Interests (defined below) and [INSERT NAME(S) OF VESSEL OWNER(S) OR OPERATOR], a [TYPE OF ENTITY AND JURISDICTION OFORGANIZATION] ( “Transporter”), on behalf of the Vessel Interests (defined below). RECITALS WHEREAS, Transporter, using the LNG vessel set forth below under its name and signature (“Vessel”), proposes to deliver certain quantities of liquefied natural gas to GNLM’s marine terminal and receiving, storage and regasification facilities located in Mejillones, Chile (as more fully defined below, the “Marine Terminal”); and WHEREAS, Transporter and GNLM(collectively, the “Parties” and individually a “Party”) have agreed to allocate between them the ACUERDO DE
