This agreement shall be considered an Addendum to the purchase contract on the above property. In any conflicts exists between the terms of this agreement and the purchase contract, the terms of this agreement shall prevail. This agreement is solely for the purpose of allowing the Seller to keep possession of the premises after the close of escrow.

This addendum grants the seller exclusive possession of the premises following the close of escrow, and the following terms and conditions are hereby included as part of the contract. The Landlord Tenant Act shall not apply per section 33-1308 of the Act, and this agreement shall not extend over 30 days in duration.

Therefore, the Arizona Residential Landlord Tenant Act, A.R.S. § 33-1301, et seq., are inapplicable. The parties are advised to: (i) seek appropriate counsel from lender, insurance, legal, tax, and accounting professionals before entering into this agreement that allows the Seller to maintain possession following close of escrow for an agreed amount of time and (ii) consider the use of a lease agreement rather than a post-possession agreement.
