This Agreement to Amend (the “Agreement to Amend”) the Palisades Nuclear Power Plant Power Purchase Agreement dated as of July 11, 2006 (the “PPA”) is made and entered into as of January j20>, 2020 (the “Execution Date”), by and among Entergy Nuclear Power Marketing, LLC, a Delaware limited liability company (“Seller”), and Consumers Energy Company, a Michigan corporation ( “Buyer”). Buyer and Seller are sometimes collectively referred to as the “Parties” and individually a “Party”. All capitalized terms used in this Agreement to Amend, but not otherwise defined herein, shall have the meanings set forth in the PPA.
