This Bruce Power Sharing in Transfers and Refinancings Agreement is dated as of the 17th day of October, 2005 among Bruce Power A L.P., a limited partnership created under the laws of Ontario having its principal place of business near Tiverton, Ontario; Ontario Municipal Employees Retirement Board, the administrator of the Ontario Municipal Employees Retirement System, a pension plan registered under the laws of Ontario; TransCanada Corporation, a corporation incorporated under the laws of Canada; and the Ontario Power Authority, a corporation without share capital existing under the Electricity Act (Ontario).
