AGREEMENT made as of May 20, 2011 by and between Precidian ETFs Trust, a Delaware statutory trust, with its principal office and place of business at 350 Main Street, Suite 9, Bedminster, New Jersey 07921 (the “Fund”), Precidian Funds LLC, a Delaware limited liability company, with its principal office and place of business at 350 Main Street, Suite 9, Bedminster, New Jersey 07921 (the “Advisor”) and Foreside Management Services, LLC, a Delaware limited liability company, with its principal office and place of business at Three Canal Plaza, Portland, Maine 04101 (“Foreside”).
