AGREEMENT (as the same may be amended or modified from time to time in accordance with the terms hereof, this “Agreement”), is made and entered into as of the 15th day of December, 2023, by and among the Federal Deposit Insurance Corporation in its capacity as the Receiver (the “Initial Member”), Sig-23 Private Owner II LLC, a Delaware limited liability company (the “Private Owner”), and SIG RCRS D MF 2023 Venture LLC, a Delaware limited liability company (the “Company”).
