This Projects Agreement (this “Agreement”), dated as of (the “Effective Date”), is entered into by and between City of Arlington (“Project Manager”), and CBS EcoMedia Inc., a Delaware corporation having an office and principal place of business at 919 Manhattan Avenue, Suite 100, Manhattan Beach, CA, 90266 (“EcoMedia”), with reference to the below facts. This Agreement shall supersede the Environmental Improvement Projects Agreement dated as of February 22, 2011 by and between Project Manager and CBS, which shall be terminated effective as of the Effective Date hereof and shall be without further force or effect:
