This Projects Agreement (this “Agreement”), dated as of (the “Effective Date”), is entered into by and between City of Arlington (“Project Manager”), and CBS EcoMedia Inc., a Delaware corporation having an office and principal place of business at 919 Manhattan Avenue, Suite 100, Manhattan Beach, CA, 90266 (“EcoMedia”), with reference to the below facts. This Agreement shall supersede the Environmental Improvement Projects Agreement dated as of February 22, 2011 by and between Project Manager and CBS, which shall be terminated effective as of the Effective Date hereof and shall be without further force or effect:

WHEREAS, the Board of County Commissioners of Tulsa County, Oklahoma (hereinafter called the "County"), and the Tulsa County Industrial Authority, an Oklahoma public trust (hereinafter called the "Authority"), entered into a certain Projects Agreement (hereinafter called the "Agreement"), dated September 1, 2010, whereby the County agrees to make payments to the Authority in amounts sufficient to pay when due principal and interest on the Authority's Capital Improvement Revenue Bonds, Refunding Series 2010 and other obligations of the Authority therein described as therein provided; and

WHEREAS, the Board of County Commissioners of Tulsa County, Oklahoma (hereinafter called the "County"), and the Tulsa County Public Facilities Authority, an Oklahoma public trust (hereinafter called the "Authority"), entered into a certain Projects Agreement (hereinafter called the "Agreement"), dated December 1, 2011, whereby the County agrees to make payments to the Authority in amounts sufficient to pay when due principal and interest on the Authority' s $9,860,000 Capital Improvements Refunding Revenue Bonds, Series 2011 and other obligations of the Authority therein described as therein provided; and

WHEREAS, the Board of County Commissioners of Tulsa County, Oklahoma (hereinafter called the "County"), and the Tulsa County Industrial Authority, an Oklahoma public trust (hereinafter called the "Authority"), have heretofore approved a certain Projects Agreement (hereinafter called the "Agreement"), dated as of July 1, 2014, whereby the County agrees to make payments to the Authority in amounts sufficient to pay when due principal and interest on the Authority's Capital Improvement Revenue Bonds, Series 2014, and other obligations of the Authority as therein provided; and

WHEREAS, the Board of County Commissioners of Tulsa County, Oklahoma (hereinafter called the "County"), and the Tulsa County Industrial Authority, an Oklahoma public trust (hereinafter called the "Authority"), entered into a certain Projects Agreement (hereinafter called the "Agreement"), dated April 1, 2016, whereby the County agrees to make payments to the Authority in amounts sufficient to pay when due principal and interest on the Authority's $38,020,000 Capital Improvement Revenue Bonds, Series 2016 and other obligations of the Authority therein described as therein provided; and

WHEREAS, the Board of County Commissioners of Tulsa County, Oklahoma (hereinafter called the "County"), and the Tulsa County Industrial Authority, an Oklahoma public trust (hereinafter called the "Authority"), entered into a certain Projects Agreement (hereinafter called the "Agreement"), dated December 1, 2017, whereby the County agrees to make payments to the Authority in amounts sufficient to pay when due principal and interest on the Authority's $53,700,000 Capital Improvements Revenue Bonds, Series 2017 and other obligations of the Authority therein described as therein provided; and
