On December 20, 2018, CCF Holding Company, a Georgia corporation and registered bank holding company with its principal office in Jonesboro, Georgia (“CCF”), entered into a Business Combination Agreement and Agreement and Plan of Mergers (the “Business Combination Agreement”) with Heritage Bancorporation, Inc., a Georgia corporation and registered bank holding company with its principal office in Hinesville, Georgia (“HBI”), and Providence Bank, a Georgia state-chartered bank with its principal office in Alpharetta, Georgia (“Providence”). The Business Combination Agreement, a copy of which is attached to this proxy statement as Appendix A, provides for (i) the merger of HBI with and into CCF, with CCF as the surviving company (the “HBI Merger”), (ii) the merger of a wholly-owned subsidiary of CCF (the “Interim Sub”) with and into Providence, with Providence as the surviving company (the “Providence Merger”), and (iii) the renaming of CCF as Heritage Southeast Bancorporation, Inc.
