As you may have heard, Sid Knafel (Chairman of Insight's Board of Directors) and The Carlyle Group (a private investment firm) and I have proposed a transaction that would make Insight Communications Company, Inc. a private company.

This letter outlines the proposed transaction (the "Transaction") between Cliffs Quebec Iron Mining ULC ("Cliffs Quebec"), Cliffs Greene B.V. ("Cliffs Greene"), Cliffs Netherlands B.V. ("Cliffs Netherlands" and together with Cliffs Quebec and Cliffs Greene, the "Vendors") and Noront Resources Ltd. ("Noront"), pursuant to which Noront will acquire: (a) all of the outstanding securities (the "Securities") of each of Cliffs Quebec's wholly-owned subsidiaries Cliffs Chromite Ontario Inc. Energy Scheduling: WRI shall use reasonable efforts to notify EPMI by 10:30 CPT on the day prior to delivery if there is a reasonable chance of curtailment during the following day. If WRI predicts a reasonable chance of curtailment, EPMI shall have the right, but not the obligation, to purchase the next day’s schedule from an alternative supplier. In instances when energy is to be curtailed, WRI shall use reasonable efforts to notify EPMI of curtailment not less than one hour before energy delivery is to be curtailed.
