AGREEMENT ("Agreement") made as of this 14th day of August, 2023, between ProShare Advisors LLC, a Maryland limited liability company (the "Adviser") and ProShares Cayman Ether Strategy Portfolio (the "Portfolio"), a company organized under the Companies Act (as amended) of the Cayman Islands (the "Companies Act").
