THIS AGREEMENT Made this the 31st day of July, Two Thousand and Seven between ANIL AGARWAL FOUNDATION, a company incorporated under the Indian Companies Act, 1956 (1 of 1956) having its registered Office at Mumbai in India (hereinafter called the Company) of the one part AND the Governor of the State of Orissa (hereinafter called the Governor) of the other part : WHEREAS the Company intended to establish Vedanta University near Puri and have applied to the Government of Orissa (hereinafter called “the State Government”) for the acquisition under the provisions of the Land Acquisition Act 1 of 1894 (hereinafter referred to as the said Act) of the land described in the schedule hereunder, written and delineated on the map here unto annexed where on the Company intend to establish Vedanta University:
