This Purchase and Sale Agreement I ("Agreement"), dated as of May 8, 2006, is by and between NGS Sub Corp., whose address is Two Memorial City Plaza, 820 Gessner Road, Suite 1340, Houston, TX 77024 ( “Seller”), and Denbury Onshore, LLC, whose address is 5100 Tennyson Parkway, Suite 1200, Plano, Texas 75024 ("Buyer").
