A contract for the sale and purchase of commercial real estate (hereinafter, the “PSA”), in addition to setting forth the business terms reached by the parties, is at its core an allocation of risks and benefits. The types of risks and benefits to be shared by the parties to a PSA will be determined by many factors, including the nature and size of the transaction, the type of property, market conditions and the negotiating leverage of the parties. Naturally, it is the goal of each party to the PSA to minimize risk and maximize benefits.

Samson Oil and Gas USA, Inc, a wholly-owned subsidiary of Samson Oil and Gas Limited (ASX:SSN and OTCQB:SSNYY), has entered into a Purchase and Sale Agreement (PSA) with Eagle Energy Partners, I, LLC (Eagle) for the sale of Samson’s Foreman Butte Project located in the Williston Basin in North Dakota and Montana, effective January 1, 2018, for cash consideration of US$40 million, (subject to customary adjustments).

Self-Help Enterprises has site control through a fully executed Purchase and Sale Agreement (PSA) for the acquisition of the Madison Place and The Haven scattered site projects. There is a PSA for each site as they are owned by separate legal entities, however, Mercy Housing is the sole member and manager of each entity. The PSA’s are currently valid and there is no expiration date, although the agreements do include a provision that the closing shall occur no later than February 1, 2021. The PSA’s meet the requirement for site control under MHP and therefore qualify the application for full points.
