This PURCHASE MONEY LOAN AND SECURITY AGREEMENT (this “Agreement”), is entered into as of this 25th day of July, 2018, by and among SAExploration Acquisitions (U.S.), LLC, a Delaware limited liability company (the “Borrower”), the Guarantors party hereto from time to time, the “Guarantors”), the Lenders party hereto from time to time (the “Lenders”) and Cantor Fitzgerald Securities, in its capacities as administrative agent and collateral agent for the Lenders (in such capacity, together with any of its successors and permitted assigns in such capacity, the “Agent”).
