Seller’s/Subcontractor acceptance of this order shall constitute agreement to be bound by and to comply with all the terms and conditions set forth herein, including any and all upstream construction contracts Purchaser may have with Owner or Contractor. Written acceptance or holding the order for ten (10) days shall constitute unqualified acceptance of all its terms and conditions.

This document, together with any attachments appended hereto constitutes the sole Terms and Conditions for the Purchase Order/Subcontract between the parties, and acceptance is strictly limited to the terms and conditions contained herein. Additional or differing terms, conditions or limitations of liability proposed by Seller, whether in a credit terms, quote, acceptance or delivery document shall have no effect unless accepted in writing by Physical Optics Corporation. In particular, any limitation of liability or disclaimer of warranty is expressly rejected.

This Purchase Order/Subcontract involves funds from a Federal government contract, or funds from a Purchase Order/Subcontract at any tier relating to a Federal government contract, relevant clauses from the Federal Acquisition Regulation (FAR) are hereby incorporated into this Contract by reference with the same force and effect as if they were given in full text, and are applicable to this Contract. The full text of the FAR clauses referenced may be found at https://www.acquisition.gov/Far/. Supplier agrees to flow down all applicable FAR and supplementary clauses to any lower-tier Subcontractors working pursuant to this Agreement.
