This BROKER / PURCHASER AGREEMENT is entered into between Just Elementary, Inc. (hereafter “JEi”) and the undersigned prospective purchaser (hereafter “PURCHASER”) of a business offered for sale through JEi. “SELLER” shall refer to any business entity being offered for sale, as well as the principals of such entity. JEi and PURCHASER agree as follows:

Carpenter/Robbins Commercial Real Estate, Inc. (“C/R”) has been retained on an exclusive basis by the Town of Danville (the “Owner”) with respect to the offering for sale of 115-125 Hartz Avenue, Danville , California (the “Property”). The Owner has requested that all inquiries and communications with respect to the contemplated sale of such Property be directed to C/R. All fees due C/R in connection with the sale of the Property shall be paid by the Owner.
