Dinallo, Superintendent of Insurance of the State of New York in his capacity as Liquidator of the Midland Insurance Company, a New York insurance company in liquidation (the “Liquidator”). The Liquidator and the Purchaser are each a “Party” to this Agreement and are collectively referred to herein as the “Parties.”
