This Advisory Agreement is entered into between Client and Qapital Invest, LLC, a Delaware limited liability company and investment adviser registered with the Securities and Exchange Commission (“Qapital”). Capitalized terms used but not otherwise defined herein shall have the meaning given to such terms in Section 2 below. Client is contracting with Qapital to participate in Qapital’s investment management program. This Advisory Agreement is made and effective as of the date it is electronically signed by Client.
