KOHLER LLC, an Idaho limited liability company (collectively “the Kohler Parties”), and TOQUERVILLE CITY, a Utah municipal corporation (the “City”). Throughout this Agreement, the Kohler Parties and the City may be referred to herein individually as a “Party” or collectively as the “Parties”.
