THIS PURCHASE AND SALE AGREEMENT (this “Agreement”), dated as of the 7th day of May, 2007 (the “Effective Date”) relates to the sale of the interests of the sole general partner and the limited partners of CRESCENT VILLAGE TOWNHOMES LIMITED PARTNERSHIP, an Ohio limited partnership (“Crescent Partnership”), EAGLE RIDGE TOWNHOMES LIMITED PARTNERSHIP, an Ohio limited partnership (“Eagle Partnership”), MEADOWBROOK APARTMENTS LIMITED PARTNERSHIP, an Ohio limited partnership (“Meadowbrook Partnership”), POST WOOD TOWNHOMES LIMITED PARTNERSHIP, an Ohio limited partnership (“PW1 Partnership”), POST WOOD TOWNHOMES II LIMITED PARTNERSHIP, an Ohio limited partnership (“PW2 Partnership”), and WILLOW BEND TOWNHOMES LIMITED PARTNERSHIP, an Ohio limited partnership (“Willow Partnership,” and with the Crescent Partnership, the Eagle Partnership, the Meadowbrook Partnership, the PW1 Partnership and the PW2 Partnership, sometimes individually referred to herein as a “Partnership” and collectively referr
