THIS AMENDED AND RESTATED RECEIVABLES TRANSFER AND SERVICING AGREEMENT (as amended, restated, supplemented or otherwise modified and in effect from time to time, this “Agreement”) is entered into as of June 28, 2013, by and between UNIVISION COMMUNICATIONS INC.
